End-User License Agreement

1. Agreement

This End-User License Agreement (“EULA”) is a binding agreement between you and Ecom Reserve (“Company,” “we,” “us”) governing your download, installation, and use of the Hidden Blade desktop plugin software, related documentation, updates, and connected online services (together, the “Software”). By downloading, installing, activating, or using the Software, you agree to this EULA, our Terms of Service, Privacy Policy, and Refund & Cancellation Policy. If you do not agree, do not install or use the Software.

If you accept on behalf of an organization, you represent that you have authority to bind that organization; “you” includes that organization.

2. License grant

Subject to this EULA and an active trial entitlement or paid subscription in good standing, Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software on macOS devices you own or control, solely for use with a compatible installation of DaVinci Resolve (Studio, as required by the product), and solely in connection with your authorized Hidden Blade account.

The license is for your internal creative and production use only. Seat, device, and concurrent-use limits may apply as described in your plan or product documentation. We may authenticate license status online; offline or circumvented use is not authorized.

3. License restrictions

You may not, and may not permit others to:

  • copy, distribute, sell, rent, lease, lend, sublicense, or publicly display the Software except as expressly allowed;
  • reverse engineer, decompile, disassemble, or attempt to derive source code or underlying ideas, except to the limited extent such restriction is prohibited by law;
  • modify, adapt, translate, or create derivative works of the Software;
  • remove, alter, or obscure proprietary notices, branding, or license keys;
  • circumvent, disable, or interfere with license checks, usage metering, authentication, or security controls;
  • use the Software to build a competing product or to benchmark for publication without prior written consent;
  • share account credentials, license tokens, or download packages in a way that enables unauthorized use; or
  • use the Software in violation of law or our acceptable-use rules in the Terms of Service.

4. Ownership and intellectual property

The Software is licensed, not sold. Company and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. No rights are granted except the limited license expressly stated. Feedback you provide may be used by Company without obligation or compensation to you.

5. Accounts and credentials

Access to paid or trial features requires an account. You are responsible for safeguarding credentials, device codes, and sessions, and for all activity under your account. Notify us promptly of unauthorized access via Support in the plugin or at hiddenblade.io/account. We may suspend or revoke licenses associated with compromised or abused accounts.

6. Online services and content processing

Certain features require network connectivity and transmission of media, transcripts, prompts, usage metrics, or other data to our servers or subprocessors for processing. Your use of those features is also governed by the Terms of Service and Privacy Policy. You represent that you have all rights needed to submit content for processing.

7. Acceptable use

You may not use the Software to process unlawful content; to infringe others’ rights; to attack, overload, or disrupt our systems; to scrape or harvest data beyond normal product use; or to violate export, sanctions, or privacy laws. We may investigate and suspend access for suspected violations.

8. Third-party software and hosts

Hidden Blade is designed to operate as a plugin within DaVinci Resolve, a product of Blackmagic Design. DaVinci Resolve, macOS, and other host or system software are separate products subject to their own licenses and terms. Company is not affiliated with, endorsed by, or sponsored by Blackmagic Design or Apple Inc. Your use of those products is solely between you and their respective providers. We are not responsible for host-application changes that break compatibility.

The Software may include or rely on third-party open-source or commercial components under their own licenses. Those licenses govern the applicable components to the extent required.

9. Beta software

The Software may be provided as beta. Beta features may be incomplete, unstable, change without notice, or be withdrawn. Beta is provided for evaluation and early access. You assume all risk of using beta builds. Install only packages obtained from official Hidden Blade channels (including hiddenblade.io and in-product download flows).

10. Updates

We may provide updates, patches, or new versions. Some updates may be required to continue using online features or to maintain security. Updated Software may be subject to this EULA or a successor agreement presented at update time. We are not obligated to provide any particular update or to support prior versions indefinitely.

11. Support

Support, if any, is provided on a commercially reasonable basis through in-product Support or your account at hiddenblade.io/account, and may change or end without creating a warranty or service-level commitment unless separately agreed in writing.

12. No warranty

THE SOFTWARE AND ALL RELATED SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR COMPATIBLE WITH EVERY HOST CONFIGURATION, OR THAT DEFECTS WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS; IN THOSE CASES, WARRANTIES ARE DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS EULA, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS EULA WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO COMPANY FOR HIDDEN BLADE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) FIFTY U.S. DOLLARS (US $50). THE FOREGOING LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE, EXCEPT WHERE PROHIBITED BY LAW.

14. Indemnification

You will defend, indemnify, and hold harmless Company and its affiliates, officers, and employees from and against claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from your content, your use of the Software, your breach of this EULA, or your violation of law or third-party rights.

15. Termination

This EULA is effective until terminated. Your license ends automatically if your trial or subscription ends or if you breach this EULA. We may suspend or terminate access immediately for breach, abuse, non-payment, legal risk, or discontinuation of the product. Upon termination you must stop using the Software and destroy or uninstall copies in your possession. Sections that by nature should survive (including ownership, disclaimers, liability limits, indemnity, and governing law) survive termination.

16. Export and sanctions

You may not export, re-export, or use the Software in violation of U.S. or other applicable export control or sanctions laws. You represent that you are not located in a sanctioned jurisdiction and are not a prohibited party under applicable lists.

17. Governing law

This EULA is governed by the laws of the Commonwealth of Puerto Rico, without regard to conflict-of-law rules. Exclusive venue for disputes arising under this EULA lies in the state or federal courts located in Puerto Rico, except where mandatory consumer protections require otherwise. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

18. Changes

We may update this EULA by posting a revised version on hiddenblade.io or presenting it in-product. Continued use after the effective date constitutes acceptance, except where acceptance of a new agreement is required by law or at install/update time.

19. Entire agreement

This EULA, together with the Terms of Service, Privacy Policy, and Refund & Cancellation Policy, constitutes the entire agreement regarding the Software license and supersedes prior license terms for the Software. If any provision is unenforceable, the remainder remains in effect.
